Acceptance of Terms

By accessing and using the services provided by nexolio GmbH, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you and nexolio regarding your use of our property management services and website.

If you do not agree to these terms, you must not access or use our services. Your continued use of our services following any changes to these terms constitutes acceptance of those changes.

Service Description

nexolio provides professional property management services including but not limited to tenant management, property maintenance, financial administration, legal compliance, and property marketing. Our services are designed to maximise property investment returns whilst ensuring full compliance with German property laws and regulations.

User Obligations

When using nexolio services, you agree to:

• Provide accurate and complete information about your property and circumstances
• Maintain the legal ownership or authority to engage property management services
• Comply with all applicable laws and regulations regarding property ownership and rental
• Pay all fees and charges in accordance with our service agreements
• Respond promptly to reasonable requests for information or documentation
• Notify nexolio of any material changes affecting your property or circumstances
• Use our services only for lawful purposes and in accordance with these terms

Service Agreements

Specific property management services are governed by individual service agreements that detail the scope of services, fees, responsibilities, and terms specific to your property. These Terms of Service supplement and work in conjunction with your individual service agreement.

In case of conflict between these general terms and your specific service agreement, the terms of the service agreement shall prevail for matters specifically addressed therein.

Fees and Payment

Management fees and payment terms are specified in your individual service agreement. All fees are inclusive of VAT where applicable. nexolio reserves the right to adjust fees with appropriate notice as specified in your service agreement.

Late payment of fees may result in suspension of services and additional charges as outlined in your service agreement. nexolio may engage third-party collection services for overdue accounts.

Intellectual Property

All content on the nexolio website, including text, graphics, logos, images, software, and other materials, is the property of nexolio GmbH or its licensors and is protected by German and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our content without prior written consent from nexolio, except as permitted for personal, non-commercial use.

Privacy and Data Protection

nexolio processes personal data in accordance with our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR). By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

Limitation of Liability

nexolio provides property management services with professional care and diligence. However, our liability is limited as follows:

• nexolio's total liability for any claim shall not exceed the annual management fees paid by you
• We are not liable for indirect, consequential, or punitive damages
• We are not responsible for acts of third parties, including tenants, contractors, or service providers
• We are not liable for losses due to market conditions, economic factors, or force majeure events
• Our liability for property damage is limited to our professional indemnity insurance coverage

Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or other matters where liability cannot be excluded under German law.

Indemnification

You agree to indemnify and hold harmless nexolio, its directors, employees, and agents from any claims, damages, losses, or expenses arising from your breach of these terms, violation of applicable laws, or misrepresentation of facts related to your property or circumstances.

Force Majeure

nexolio shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, government regulations, or technical failures.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Federal Republic of Germany. The courts of Leipzig, Saxony, shall have exclusive jurisdiction over any disputes arising from or relating to these terms or our services.

Any legal proceedings must be conducted in German, and German law shall apply to all matters not specifically addressed in these terms.

Dispute Resolution

We encourage the resolution of disputes through direct communication. If a dispute cannot be resolved amicably, it shall be submitted to the competent courts in Leipzig, Saxony, Germany, in accordance with German civil procedure law.

Termination

These Terms of Service remain in effect until terminated. You may terminate your use of our services at any time in accordance with your service agreement. nexolio may terminate or suspend services immediately for breach of these terms or non-payment of fees.

Upon termination, you must cease all use of our services and website. Provisions regarding intellectual property, limitation of liability, indemnification, and governing law shall survive termination.

Modifications to Terms

nexolio reserves the right to modify these Terms of Service at any time. Changes will be posted on our website with an updated "Last updated" date. Continued use of our services after changes constitutes acceptance of the modified terms.

For material changes that significantly affect your rights or obligations, we will provide additional notice through email or other appropriate means.

Severability

If any provision of these Terms of Service is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent.

Entire Agreement

These Terms of Service, together with your individual service agreement and our Privacy Policy, constitute the entire agreement between you and nexolio regarding the use of our services and supersede all prior agreements and understandings.
